Overview
Scope

These Terms & Conditions apply to all hosting, server and infrastructure services offered by SpiteLife Group Germany (hereinafter "we", "us" or "SpiteLife").

By using our services, you agree to these Terms. If you do not agree, you may not use our services. We reserve the right to update these Terms at any time. Continued use of our services after a change constitutes acceptance of the new terms.

Section 1
Subject Matter

SpiteLife provides services in the areas of web hosting, server infrastructure, dedicated servers, VPS, domains and related digital services.

The exact scope of services is determined by the booked plan or individually agreed contract. A contractual relationship is established upon written or electronic confirmation by SpiteLife.

By using our services, you confirm that you are of legal age and authorized to enter into this agreement.

Section 3
Scope of Services

3.1 The scope of contractual services is determined by the service description in effect at the time of order and the resulting agreements. We reserve the right to discontinue free services or make them subject to a fee after prior notice.

3.2 Where the subject of the contract is the registration of domain names, we are only obligated to act as an intermediary for the desired domain. We exclude any liability or warranty for the actual allocation of the ordered domain name. The customer may only assume actual allocation of the domain name once it has been confirmed by us in writing or electronically. SpiteLife has no influence over domain allocation by the responsible registries.

3.3 We undertake to take commercially reasonable measures to achieve an annual average network availability of 99.9% for our infrastructure. This figure refers to the network connectivity of our data centers and does not include scheduled maintenance windows.

3.4 Use of our services is subject to our usage policies. Content or activities that violate applicable law, third-party rights or our policies are prohibited. We reserve the right to suspend such services without prior notice.

3.5 Where the booked service includes the assignment of an IP address, we note that no blacklist check of the assigned IP address is performed and the customer has no entitlement to a specific IP address. A change of IP address by SpiteLife is possible after prior notification, if technically or operationally required.

3.6 Technical support services beyond the standard services included in the service description will be charged separately. The scope of included support is determined by the respective plan.

Section 2
Customer Obligations

You are obligated to use our services solely for lawful purposes. In particular, the following is prohibited:

In case of violations, we reserve the right to suspend or terminate your access immediately and without prior notice.

Section 3
Availability and Maintenance

We strive to ensure high availability of our services. However, 100% availability cannot be technically guaranteed.

Maintenance work that may temporarily restrict services will be announced in advance where possible. Emergency maintenance may be carried out without prior notice.

SpiteLife is not liable for outages caused by force majeure, third-party attacks, hardware failures of upstream providers or other circumstances beyond our control.

Section 4
Pricing and Payment

Prices for our hosting services are set out in the current price list or individually agreed offer. We reserve the right to change prices with 30 days notice.

Invoices are due within 14 days of the invoice date without deduction. In case of late payment, we reserve the right to suspend the service until the outstanding amount is fully settled.

In case of persistent late payment exceeding 30 days, we reserve the right to terminate the contract without notice and delete the affected data after a reasonable period.

Section 5
Data Backup

We offer regular backups where possible. However, the customer is solely responsible for backing up their data. SpiteLife provides no guarantee for the completeness or availability of backups.

In the event of data loss – regardless of the cause – SpiteLife is only liable within the limits of statutory provisions and only in cases of proven intent or gross negligence on our part.

Section 6
Resource Usage

The customer agrees to use the provided resources (CPU, RAM, bandwidth, storage) within the limits of the booked plan. Abusive overloading of the infrastructure is prohibited.

In case of persistent or abusive exceeding of agreed resources, we reserve the right to throttle, suspend or upgrade the service to a higher plan.

Section 7
Third-Party Services

Our infrastructure may use third-party services (e.g. data center operators, network providers). We assume no liability for outages or quality deficiencies caused by third parties.

Links or integrations to external services are provided without warranty for their availability, security or legal compliance.

Section 8
Intellectual Property

All content, software, systems and infrastructure provided by SpiteLife are the intellectual property of SpiteLife or our licensors. Reproduction, distribution or use beyond the agreed scope is prohibited without express written permission.

Data Protection

Section 10
Disclaimer of Liability

We provide no guarantee that the use of our services will be uninterrupted, timely, secure or error-free. Technical disruptions, outages or data loss cannot be completely excluded despite all due care.

Use of our services is at your sole risk. All services are provided "as is" and "as available" without any express or implied warranties regarding availability, security, fitness for a particular purpose or freedom from errors.

SpiteLife Group Germany, its directors, employees, contractors and service providers shall under no circumstances be liable for any direct, indirect, incidental, punitive or consequential damages of any kind, including loss of profits, revenue, data or business interruption arising from the use or inability to use our services – regardless of whether such possibility was indicated.

Liability is in any case limited to the amount you have paid for our services in the 3 months preceding the damaging event.

Section 11
Termination

Contracts may be terminated by either party with 30 days notice to the end of the month, unless otherwise agreed in the individual contract.

Das Recht zur außerordentlichen Termination aus wichtigem Grund bleibt unberührt. Ein wichtiger Grund auf unserer Seite liegt insbesondere bei schwerwiegenden Verstößen gegen diese AGB, dauerhaftem Zahlungsverzug oder missbräuchlicher Nutzung unserer Infrastruktur vor.

Upon termination of the contract, your data will be irreversibly deleted after a transition period of 14 days, unless a legal retention obligation applies.

Section 12
Anwendbares Recht & Gerichtsstand

These Terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.

The place of jurisdiction for all disputes is the registered seat of SpiteLife Group Germany, insofar as the customer is a merchant or a legal entity under public law.
